We solely supply products in accordance with the following Terms and Conditions, which are based on all the contracts entered into with us in relation to the products offered in our online shop www.light11.de. Any of the purchaser’s terms and conditions which contradict or deviate from the following conditions are inapplicable. The following Terms and Conditions also exclusively apply if, having been notified of the purchaser having requirements which contradict or deviate from the following Terms and Conditions, we unreservedly provide the goods and services. |

Consumers in the sense of these Terms and Conditions are natural persons for whom the purpose of the order cannot be attributed to a commercial, self-employed or voluntary activity. Corporate clients are natural persons, legal entities or incorporated partnerships placing orders for commercial, self-employed or voluntary purposes. Customers in the sense of these Terms and Conditions are both consumers and corporate clients. |

These Terms and Conditions and the related general contractual requirements can be viewed on our shop website at www.light11.eu. This document can also be printed or saved using your internet program’s usual function (Browser: usually under "File" -> "Save as"). Click here to download and archive this document in PDF format. Adobe Reader, which is free to download from www.adobe.com, or a comparable PDF-compatible program is required to open the PDF file. |

You can also archive your order details by either downloading the T&C and using your browser function to save the summarised information on the final page of the online shop order process or by awaiting the automatic order receipt confirmation which we e-mail you at the end of your order to the address you designate for this purpose. The order receipt confirmation e-mail provides all your order information and these T&C and can be easily printed out and/or saved using your e-mail program. |

We save your order information but, for security reasons, do not provide instant access to it. We provide all customers with password-protected direct access to a "Your account" area. After entering your corresponding registration details, you can view information on your current and recently dispatched orders, change your light11 account details, address details and password and subscribe to or unsubscribe from the newsletter. The customer is obliged to keep the personal access information confidential and not to allow access to unauthorised third parties. |

Contractual partner, language and contract conclusion |

Your contractual partner is light11 GmbH, represented by Thomas Unger, Bozener Str. 13, 44229 Dortmund. Contracts in our online shop can currently only be concluded in English, German, French, Dutch and Danish. All our offers are subject to change unless they become part of a contractual agreement. |

By clicking "confirm order" in the final stage of the order process, you enter into a legally binding order for the goods in the shopping basket. The order receipt confirmation is sent as soon as the order has been placed. This confirmation of receipt does not represent our acceptance of your order, it simply informs you that we have received your order and can be used for archiving purposes. |

A legally binding contract is first concluded when we accept the customer order by means of a separate order acceptance, a dispatch confirmation or by dispatching the goods. Please note that prepaid goods will only be dispatched once the full payment amount has been received in our account. When available from light11.de off-the-shelf, products which form part of prepaid orders are reserved for a period of no longer than 14 days. If your payment is received after this period, delivery delays may occur. If the product is not available off-the-shelf, it will only be ordered from the supplier once the full payment amount has reached our account. Customers are bound to their orders for no longer than 14 days (Working days are Mon – Fri). |

Prices and shipping costs |

Orders from our online shop are subject the prices shown at the time of the order. The prices shown are final prices, meaning that they include the respectively valid statutory VAT and other price components.
Shipping within Germany, France, Belgium, Denmark, the Netherlands, Great Britain, Ireland and Austria is free of charge for order totals of EUR 150 and above. Shipping to all other countries we deliver to is free of charge for order totals of EUR 250 and above. For C.O.D. deliveries with order totals of up to EUR 150 in Germany, France, Belgium, Denmark, the Netherlands, Great Britain, Ireland and Austria or EUR 250 in other countries, a C.O.D. charge of EUR 5.04 plus statutory VAT is applicable. Shipping for all orders over EUR 150 or EUR 250 is free and without a C.O.D. charge in all countries to which we deliver. |

Payment and delivery |
| 5.1 |
The following payment methods can be used when placing orders via our online shop:
Advance payment transfer with 2% discount, for orders above €1,000 with 5% discount: please transfer the payment amount on receipt of our advance payment request which we will send by e-mail. Please also provide your name and order number. The reserved goods will be dispatched as soon as your payment reaches our account. If the goods are not available off-the-shelf, they will only be ordered from the supplier on receipt of your payment and delivered to you once received by light11.de.
PayPal PayPal can be used to pay for orders up to the value of €1,500. Your bank card or credit card details are held solely by PayPal and are not stored by us. Goods that are in stock will be dispatched as soon as we have received confirmation of your PayPal payment.
Credit card: Payment by credit card is only possible for orders up to the value of €1,500. We accept Eurocard/Mastercard and VISA. If the bank issuing your credit card has registered it for ‘Verified by VISA’ or ‘MasterCard SecureCode’, the associated authorisation process is carried out. Your credit card information is transferred using SSL encryption and managed with the utmost confidentiality, keeping your details secure and ensuring that they do not fall into the wrong hands. If, despite these measures, you still do not want to provide your credit card details online, please contact our service hotline or use this order form to send us your order by fax or post. The deliverable goods are dispatched as soon as your credit card payment has been accepted. In the case of payment by credit card, the reservation of the order will take place upon completion of the order, your account will be charged when the goods are shipped.
Direct debit for invoice recipients based in Germany: Payment by direct debit can only be made on orders up to a value of €750. When paying by direct debit, your account information is transferred using SSL encryption and managed with the utmost confidentiality, keeping your details secure and ensuring that they do not fall into the wrong hands. If, despite these measures, you still do not want to provide your account details online, please contact our service hotline or use this order form to send us your order by fax or post. Deliverable goods are dispatched immediately. In the case of payment by a direct debit from your bank account, your account will be charged within 7 days of delivery of the goods.
Cash on delivery: Payment is made in cash directly to the delivery person when the goods change hands. Deliverable goods are dispatched immediately. For C.O.D. deliveries with order totals of up to € 150 in Germany, France, Belgium, Denmark, the Netherlands, Great Britain, Ireland and Austria or €250 in other countries, a C.O.D. charge of €5.04 plus statutory VAT is applicable. Shipping for all orders over €150 or €250 is free and without a C.O.D. charge in all countries to which we deliver.
Invoice payable on receipt: Payment is required after an invoice is received. Purchase can only be made on account after the second order has been made and once a prior order volume of €250 has been reached. Payment must be made in full within 14 days, otherwise interest on late payment will apply. |

We retain the right to select the haulier at our own discretion. Unless otherwise agreed, the shipment will be left before the first lockable door at the delivery address provided by the purchaser. |

Packages weighing up to 70 kg are delivered as standard by UPS to your home address or another desired address. Goods weighing over 70 kg and fragile lights are delivered by freight company. Goods cannot be delivered to PO boxes or poste restante addresses. We endeavour to deliver ordered goods immediately and therefore store the vast majority of our products in our warehouses at all times. We dispatch the stored goods on the day they are ordered, providing the order is received before 12 p.m. on a workday, or, for payment in advance, the first working day after the advance payment is received. Goods which are not stored in the warehouse are dispatched 2 to 4 weeks after being ordered. Off-the-shelf goods are marked with the symbol 24 h on the product pages. We also specify the dispatch time for goods which are not stored in the warehouse on the product page. The delivery time required by the dispatch company from the point of dispatch depends on the place of delivery you have specified. After you have specified your place of delivery, the delivery time will be indicated on the overview form displayed before you confirm your order. |

Delivery times are relatively extended in the event of strike actions or lockouts which affect the delivery, as well as any other circumstances beyond our control, especially in the event of delays caused by force majeures. We will, of course, inform you immediately of the start and end of any such obstacles. |

For consumers, where a contract of sale involves the carriage of goods, the risk of accidental loss and damage to the purchased goods shall pass to the consumer at the time the goods are handed over to the consumer or a designated recipient. For all other customers, where a contract of sale involves the carriage of goods, the risk of accidental loss and damage to the goods shall pass to the purchaser at the time the goods are delivered to the forwarding agent or other such person or establishment appointed to dispatch the goods. |

We always make an effort to ship your orders to you complete. If, however, as an exception, of course only to a reasonable extent, additional deliveries are necessary, you will not be charged initially for articles that are identified on the invoice as an additional delivery and they will be placed on backorder. The shipping for the additional delivery will be free of charge. The rights that you incur otherwise as a result of the partial delivery, in particular as a result of delay or lack of delivery, will remain unaffected. Your right to set a grace period and to withdraw from the entire order if the legal requirements are in place will remain otherwise unaffected. The same will apply to your right in accordance with §320 of the German Civil Code (BGB) to refuse payment for the partial delivery, if this would not breach good faith under the circumstances, in particular as a result of the remaining portion being relatively insignificant ((§320, Para. 2 BGB). |

Right of cancellation for consumer orders |
| 6.1 |
Under the statutory right of cancellation, the consumer shall be liable for the standard costs of returning the goods if the goods delivered correspond to those ordered and the cost of the item to be returned does not exceed EUR 40 or if the item price exceeds this amount but the consumer has not yet paid in full or made the contractually agreed partial payment at the time of cancellation. |

Exceptions to the right of cancellation There are legitimate exceptions to the right of cancellation (§ 312d, paragraph 4 of the German Civil Code (BGB)). Any offers that are excluded from the right of cancellation, and to which we hereby refer, have been clearly labelled as such for your information. | |

Right of cancellation You may cancel your contractual declaration in writing (e.g. letter, fax or e-mail) within two weeks without stating any reasons, or - if you receive the goods before the two-week period has expired - by returning the goods. The period begins on receipt of this notice in text form, but not before the goods have been received by the recipient (in the event of repeat deliveries, not before receipt of the first partial delivery) and not before we have complied with our duties to supply information pursuant to Article 246, Section 2 in conjunction with Section 1 paragraphs 1 and 2 of the Introductory Law to the German Civil Code (EGBGB) and our duties pursuant to Section 312e paragraph 1 clause 1 of the BGB in conjunction with Article 246, Section 3 of the EGBGB. Consequences of cancellation In the event of a cancellation, any payments received by either party must be returned and, where applicable, any benefits derived from the same (e.g. interest) must be surrendered. If you are unable to return the goods you received in full or in part or only in a deteriorated condition, you may be required to pay compensation to the value of the loss. This shall not apply when returning goods if the deterioration of the goods is due exclusively to an inspection of the type generally undertaken within a retail outlet. To avoid having to pay compensation to the value of the loss owing to deterioration from standard use, you are advised not to use the goods as though they were your property and to refrain from any activities which would lower their value. Goods that can shipped via parcel service should be returned at our risk. You are liable for the costs of returning goods if the goods delivered correspond to those ordered and the cost of the returned item does not exceed EUR 40 or if the item price exceeds this amount but you have not yet paid in full or made the contractually agreed partial payment at the time of cancellation. In all other cases, you shall not be liable for the cost of returning the goods. We shall call to collect any items that cannot be shipped via parcel service. Any repayments required on your part must be made within 30 days of sending the notice of cancellation or returning the goods. Any required repayments on our part must be effected within 30 days of our receipt of your notice or the goods.

Information on the legal warranty |
| 8.1 |
The two-year statutory warranty period applies to all goods we supply. This period begins on delivery of the goods. Warranty claims against the company are limited to a period of one year from delivery. |

Corporate clients must immediately notify us in writing of any evident defects, and in all events no later than 14 days after receipt of the goods. Timely postal suffices. If this is not the case, no warranty claims can be filed. In the case of traders, Section 377 of the German Commercial Code (HGB) also applies. |

The warranty liability limitations or exemptions made in the above clauses 8.1 and 8.2 expressly exclude defect-related compensation claims resulting from injury to life, body or health, which result from a neglect of duty on our part, and compensation claims for other damages caused by a deliberate or grossly negligent neglect of duty on our part. The legal limitation of two years applies to the exempt claims above. No warranty liability limitations or exemptions apply if we have provided a quality guarantee or have fraudulently concealed a defect as defined by Section 444 of the German Civil Code. Any possible manufacturer’s warranty is not affected. Where our liability is excluded or limited, or there are exceptions to this exclusion or limitation, this also applies to the personal liability of our employees, co-workers, legal representatives and auxiliary persons. |

During the warranty period, we are liable for the provision of free-of-charge subsequent performance in the event of defects which are subject to the statutory warranty, i.e. (at your own discretion) to either remove the defect or provide a replacement. The legal requirements may restrict your right to choose. If we are unprepared or unable to remove the defect or provide a replacement, or this process is delayed by more than a reasonable period for reasons for which we are culpable, or if the defect removal or replacement otherwise fails, you are entitled, at your own discretion, to either receive a corresponding reduction in the purchase price or withdraw from the contract. If the legal conditions exist, compensation claims may also be filed. The rescission and provision of compensation rather than the full service provision are also excluded if the defect only negligibly reduces the value or serviceability of the purchase item or works. |

Applicable law, place of jurisdiction |

All legal transactions or other legal relations with us are subject to the law of the Federal Republic of Germany. The UN Purchase Law (CISG) and any other inter-country agreements, even after acceptance into German law, do not apply. In the event of contracts for a purpose which cannot be allocated to the beneficiary’s professional or commercial activity (contract with consumers), this choice of law is only valid providing that the protection provided is not revoked.

In business transactions with traders and public sector corporations, the place of jurisdiction for all legal disputes in relation to these Terms and Conditions and individual contracts concluded within their scope, including actions on bills and checks, shall be that of our registered office. We are, however, also entitled to file suits in the customer’s location. |

Severability clause |

Should one or more of the provisions in these Terms and Conditions be invalid in whole or in part, or lose its legal effect at any time in the future, the validity of the remaining provisions in the Terms and Conditions this shall not be affected.
